Articles of Taiwan Group on Earth Observations

CHAPTER 1 General Provisions


Article 1

The Group is entitled Taiwan Group on Earth Observations. (Hereinafter referred as "the Group")


Article 2

The Group was established in accordance with related laws and regulations. The Group is a non-profit social organization which aims at integrating the information of Earth observations, monitoring Earth environment, enhancing researches and knowledge on the understanding and the prediction of Earth system.


Article 3

The organizational district of the Group covers the national administrative district.


Article 4

The address of the Group is set in the district where the administrative authority is located. The establishment of branches of the Group may be reported to and approved by the administrative authority.


The simplified branch organizational articles shall be stipulated by the Board of Directors and implemented under the approval of the administrative authority.


The addresses of the Group and its branches upon the establishment and changes shall be submitted to the administrative authority for filing.


Article 5

The missions of the Group are as follows:

1. Conduct academic researches, hold educations and activities of Earth Observations.

2. Hold promotional exchange activities with related international organizations.

3. Promote academic exchange with related national organizations.

4. Publish the information of Earth observations.

5. Accept requests and related service programs from the government, public and private institutes or organizations.

6. Conduct other activities in relating to the aims of the Organization.


Article 6

The Group is under the administration of Ministry of the Interior. The objective businesses of the Group are under the guidance and supervision of the Ministry of Education, the Environmental Protection Administration and the Central Weather Bureau.


CHAPTER 2 Membership


Article 7

The qualifications for applying the membership are as follows:


1. Individual membership: a person, at least aged 20, in favor of the aims of the Group, with a proper job or a qualification of related jobs, after submitting the application form approved by the Board of Directors and making payment of membership fees, becomes an individual member.


2. Group Membership: a public or private institute or organization, in favor of the aims of the Group, after submitting the application form approved by the Board of Directors and making payment of membership fees, becomes a group member.

A group member selects 2 representatives to execute member rights.


3. Student Membership: a student attending a domestic university or a foreign university recognized by the Ministry of Education, after submitting the application form approved by the Board of Directors and making payment of membership fees, becomes a student member.


4. Honorary Membership: a person or an institute or organization who has extraordinary contributions to the Group, with the approval of the Board of Directors, becomes an honorary member.


5. Life Membership: a person, at least aged 20, in favor of the aims of the Group, with a proper job or a qualification of related jobs, after becoming an individual member then submitting the application form approved by the Board of Directors and making up payment of 10-year annual fees of individual member, becomes a life member.


Article 8

Members and representatives are entitled to vote, to be elected and to recall. Each member and each representative counts one vote. A student member or an honorary member is not entitled the rights mentioned above.


Article 9

Members shall be obliged to observe the Articles and determinations of the Group and make payment of membership fees.


Members not making the payment of membership fees are not entitled member rights. Those who don't make the payment of membership fees for two consecutive years will automatically be deemed a withdrawal. Members under a withdrawal, leave or termination of right who wish to resume their membership shall, except for justification, make payment of all the accumulated membership fees.


Article 10

A warning or termination of right may be determined and given by the Board of Directors to any member who acts against laws, regulations or the Articles, or disobeys the determinations made by the General Assembly. In case such violation is regarded as a major one which jeopardizes the Group, such member may be expelled from the Group in accordance with the decision made in a General Assembly meeting.


Article 11

A member leaves the Group in any case of the following conditions:

1. A member who loses its membership qualifications.

2. A member who is expelled from the Group in accordance with the decision made in a General Assembly meeting.


Article 12

A member shall make an application for withdrawal by submitting the Group a written form describing reasons.


Chapter 3 Organization and Attribution


Article 13

The General Assembly holds the supreme power of the Group. Representatives from different districts shall be elected proportionally upon exceeding 300 members. The General Assembly meeting shall be called after the representatives are elected. The representatives shall exercise their rights at the General Assembly meeting. The representatives serve for a 3-year term. The numbers of representatives and election rules are stipulated by the Board of Directors and shall be executed after being reported and approved by the administrative authority.


Article 14

The powers of the General Assembly are as follows:

1. Stipulate, change and revise the Articles.

2. Elect and recall directors and supervisors.

3. Make determinations on admission fee, annual fee, business fee and the amount and methods of donation by members.

4. Make determinations on annual projects, reports, budget and final accounts.

5. Conduct an expulsion of membership (membership representative) from the Group.

6. Make determinations on property disposal.

7. Make determinations on the dissolution of the Group.

8. Make determinations on other major events in connection with the rights and obligations of the members.

The criteria of major events mentioned in item 8 shall be regulated by the Board of Directors.


Article 15

15 directors and 5 supervisors shall be set by the Group. Directors and supervisors are elected by members (membership representatives). The Board of Directors and Supervisors Committee shall be established accordingly.


3 alternative candidates for directors and 3 alternative candidates for supervisor shall be elected based on the votes derived from the elections of directors and supervisors mentioned above. The alternative candidates shall fill in the position in sequence whenever there is any vacancy left by directors or supervisors.

The current Board of Directors shall nominate candidates of directors and supervisors for the following term for reference.


Article 16

The powers of the Board of Directors are as follows:

1. Review and approve the qualifications of members (membership representatives.).

2. Elect and recall standing directors and President.

3. Made determinations on the resignation raised by directors, standing directors and President.

4. Employ and dismiss staff.

5. Make annual plans, reports, budget and final accounts.

6. Other events under the obligations of the Board of Directors.


Article 17

5 standing directors shall be set by the Group and elected among directors. One President and one Vice President shall be elected from the standing directors.


The President supervises the general affairs of the Group, represents the Group for external communications and acts as the chairman for the General Assembly and the Board of Directors.


In case the President is unable to perform his or her duties due to other businesses, she or he shall assign the Vice President to act for her or him. The standing directors may elect among each other to act for the President while being without any assignment or unable to make an assignment. Any vacancy of the President, the Vice President or standing directors shall be elected and filled within one month.


Article 18

The powers of the Supervisors Committee are as follows:

1. Supervise the performance of the Board of Directors on their works.

2. Review annual final budget.

3. Elect and recall standing supervisors.

4. Make determinations on resignations raised by supervisors and standing supervisors.

5. Other events which should be brought under supervision.


Article 19

One standing supervisor is set by the Supervisors Committee. The standing supervisor shall be mutually elected from the supervisors. The standing supervisor supervises daily affairs of the Committee and act as the Chairman of the Supervisors Committee.


In case the standing supervisor is unable to perform her or his duties due to other businesses, she or he shall assign one of the supervisors to act for her or him. The supervisors may be elected among each other while being without any assignment or unable to make an assignment. The vacancy of the Chairman (standing supervisor) for the Supervisors Committee shall be elected and filled within one month.


Article 20

Directors and supervisors perform their duties without payment. They serve for a 3-year term and can be re-elected. The current Chairman can only be re-elected once. The term of directors and supervisors counts from the day of the first meeting of the Board of Directors.


Article 21

A director or a supervisor shall leave his or her position in any case of the following conditions occurs:

1. Lose her or his membership (membership representative) qualifications.

2. The Board of Directors or Supervisors Committee passes the request of resignation concerned.

3. A director or a supervisor is recalled or dismissed.

4. A director or a supervisor is punished with suspension exceeding half of her of his term.


Article 22

The Group sets one secretary-general and three deputy secretary-generals to deal with the affairs of the Group in accordance with the instructions made by the President. Several other staff shall be employed and dismissed based on the nomination by the President and approved by the Board of Directors. The above-mentioned shall be reported to the administrative authority for filing.


Directors or supervisors shall not concurrently act as the staff mentioned in the previous section.

The powers and duties of the staff shall be stipulated and authorized by the Board of Directors.


Article 23

The Group shall establish committees, teams or other internal operational units. The rules and the changes of rules for such units shall be implemented after being passed by the Board of Directors.


Article 24

The Group shall invite an Honorable President and several honorable directors and consultants. The term for Honorable President, honorable directors and consultants is the same as that for directors and supervisors.


Chapter 4 Meetings


Article 25

General Assembly meetings are divided into regular meetings and extraordinary meetings. Both kinds of the meetings are convened by the President. A notice shall be made in a written form fifteen days before the extraordinary meetings are held except for emergent events.


The regular meetings are convened once a year. The extraordinary meetings shall be convened whenever the Board of Directors deems necessary, or a request is made by more than 1/5 of the members (or membership representatives), or a request letter is issued by the Supervisors Committee.


After the Group makes a registration of legal person, an extraordinary meeting shall be convened upon a request made by more than 1/10 of the members (membership representative).


Article 26

When a member is unable to attend the General Assembly meeting, she or he may commission another member (membership representative) in a written form to act for her or him. Each member (membership representatives) shall act for only one member in addition to herself or himself.


Article 27

The proposals made in the General Assembly meeting shall be determined and agreed by the majority of attendants accounting for more than half of the members. However, the followings shall be agreed by more than 2/3 of the attendees :

1. Revisions and amendments of the Articles

2. Expulsion of members (membership representatives)

3. Recall of directors and supervisors

4. Property disposal

5. The dissolution of the Group

6. Other major events in connection with the rights and obligations of members


After the Group makes a registration of legal person, the amendments of the Articles shall be agreed by more than 3/4 of the attendants, or more than 2/3 of the total number of members in a written form.


The dissolution of the Group shall be determined by more than 2/3 of the total number of members at any time.


Article 28

Meetings respectively for the Board of Directors and Supervisors Committee shall be held at least once every four months. Joint meetings or extraordinary meetings shall be convened when necessary.


Exclusive of extraordinary meetings, a notice shall be made in a written form seven days before the joint meetings mentioned above are convened. The proposals made in the meetings shall be determined and agreed by the majority of the attendants accounting for more than half of the directors and supervisors respectively.


Article 29

Directors shall attend the meetings of the Board of Directors. Supervisors shall attend the meetings of the Supervisors Committee. A director or a supervisor shall not be allowed to commission another to attend the meetings on behalf of herself or himself. Two consecutive absences of a director or a supervisor from the meetings concerned without any given reason shall be deemed resignation.


CHAPTER 5 Funds and Accounting


Article 30

The sources of funds for the Association are as follows:

1. Admission fee: NT$ 1,000 for individual membership and NT$ 10,000 for group membership. The payment of the admission fee shall be made upon a member's admission to the Group.

2. Annual fee: NT$ 1,000 for individual membership; NT$ 10,000 for group membership; NT$ 200 for student membership.

3. Business fee.

4. Donations made by members.

5. Entrust income.

6. Funds and other interests.

7. Other earnings.


Article 31

The fiscal year is based on a calendar year starting from January 1st to December 31st.


Article 32

The Board of Directors of the Group shall make an annual plan, a budget list and a list of employees' salaries two months before the next fiscal year begins and submit those documents to the General Assembly for approval. In case the General Assembly meeting is unable to be held as expected, the documents shall be submitted to a joint meeting of directors and supervisors for approval. The documents shall also be reported to the administrative authority for filing before next fiscal year starts. Within two months after the fiscal year ends, the Board of Directors shall make an annual work report, final statement, cash flow statement, balance sheet, property inventory and fund balance sheet and submit these documents to the Supervisors Committee for review. An audit opinion shall be submitted to the Board of Directors and proposed in the General Assembly meeting for approval. The audit opinion shall be reported to the administrative authority for filing by the end of March. In case the General Assembly is unable to be held as expected, the audit opinion shall be reported to the administrative authority.


Article 33

After the Group is dissolved, the properties left shall be owned by the local autonomy or the organizations designated by the administrative authority.


CHAPTER 6 Supplementary Provisions


Article 34

Any items and rules not covered by the Articles shall be in accordance with related laws and regulations.


Article 35

The Articles, the changes of the Articles and related amendments shall be implemented and executed after the approval of the General Assembly (membership representatives) and being reported to the administrative authority for review and filing.


Article 36

The Articles were approved in the first General Assembly meeting of the 1st Session on August 23, 2010. The Articles were submitted to Ministry of the Interior with the file numbered Tai Nei She Tze No. 0990194713 and dated October 11, 2010 for review.
